• We provide Registered Agent services in all U.S. states for an annual fee published on the website.
• The Registered Agent’s role is to receive legal servings and official state correspondence on behalf of your business entity.
• Business mail will only be received and processed if you subscribe to the appropriate business mail receiving option.

2. Legal Document Handling

• Legal servings or official notices received on your behalf will be forwarded by email within 6 to 12 hours.
• If forwarding by postal mail is requested, postage plus a handling fee will apply.

3. Fees and Payments

• Annual Registered Agent fees are due in advance and are non-refundable.
• Additional services (e.g., mail forwarding) may incur extra charges.
• Failure to pay fees on time will result in our resignation as Registered Agent for your entity.

4. No Legal Advice

• We are not a law firm and do not provide legal, tax, or financial advice.
• You are responsible for consulting appropriate professionals for legal or compliance matters.

5. Privacy

• Your privacy is paramount. We will not disclose your information unless required by a valid court order.

6. User Responsibilities

You agree to:

• Provide accurate and up-to-date business information.
• Ensure compliance with applicable state laws regarding your business entity.
• Not use our services for unlawful or fraudulent purposes.

7. Limitation of Liability

7.1 General Disclaimer

To the fullest extent permitted by law, us, its owners, affiliates, employees, agents, contractors, and representatives (collectively, “we,” “our,” or “us”) shall not be liable for any losses, damages, claims, liabilities, costs, or expenses of any kind (whether direct, indirect, incidental, consequential, exemplary, punitive, or special) arising out of or relating to:

• Your use of or inability to use our website or services.
• Delays, errors, or interruptions in receiving, processing, or forwarding legal or business mail.
• Failure by you to maintain good standing of your entity with state authorities.
• Any misinterpretation or misuse of information provided through the website or customer support.
• Acts or omissions of third parties, including postal or courier services, state agencies, or internet providers.

7.2 No Guarantee of Outcomes

• We make no guarantees regarding the outcome of any business filing, legal proceeding, or compliance matter.
• Our role as a registered agent is limited to receiving and forwarding documents; we are not responsible for the legal consequences of those documents or your failure to act upon them.

7.3 Document Handling Limitations

• While we strive to forward documents within 6–12 hours of receipt, delays may occur due to technical, operational, or third-party factors. We shall not be liable for any harm, penalty, or loss suffered due to forwarding delays.
• If postal forwarding is requested, we are not responsible for postal delays, loss, or mishandling once the item is handed to the postal or courier service.

7.4 Maximum Liability Cap

If, notwithstanding the other provisions of these Terms, liability is found against us, our aggregate liability to you shall not exceed the annual fee paid by you for our Registered Agent services during the twelve (12) months immediately preceding the event giving rise to the claim.

7.5 Indirect Damages Disclaimer

Under no circumstances shall we be liable for:

• Loss of profits, revenue, goodwill, or anticipated savings.
• Business interruption or loss of business opportunity.
• Penalties, fines, or default judgments entered against your entity.
• Any damages that could have been avoided if you had acted diligently upon receipt of our forwarded communication.

7.6 Indemnification

You agree to indemnify, defend, and hold harmless RegisteredAgent.ch and its affiliates from any and all claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of:

• Your failure to comply with applicable laws and regulations.
• Your use of our address for unauthorized purposes.
• Your failure to respond to forwarded legal notices or state correspondence in a timely manner.

8. Termination

We may suspend or terminate services if you breach these Terms or fail to pay required fees.

9. Governing Law

These Terms are governed by the laws of the State of Nevada. Any disputes shall be resolved in Nevada.

10. Modifications

We may update these Terms at any time. Continued use of our Service constitutes acceptance of the revised Terms.
